Referral Service Agreement — ProLink Nest

This Agreement is entered into by and between:
ProLink Nest ("Referral Service"), a California business located in Shasta Lake, CA, operated by Cheri Morris, and
Contractor Name / Business Name: ("Contractor"), with CSLB License # .
1. Purpose
ProLink Nest operates as a local referral and matching service connecting homeowners in Shasta County and Northern California with vetted, licensed contractors. This Agreement governs the referral relationship. ProLink Nest is not a contractor, does not perform work, and does not enter into contracts with homeowners.
2. Referral Process
- ProLink Nest will send qualified homeowner leads matching the Contractor's services (HVAC, electrical, plumbing, etc.).
- Contractor will contact the homeowner directly, provide their own bid/contract, and handle all work.
- Contractor agrees to respond promptly and professionally to referred leads.
3. Compensation / Referral Fee
- Contractor agrees to pay ProLink Nest a referral fee of % of the final job value (total amount paid by homeowner for labor and materials, excluding taxes and permits unless agreed otherwise).
- Alternative: Flat lead fee of $ per accepted lead (select one structure).
- Fee is earned and due within 10 business days after Contractor receives final payment from the homeowner.
- Contractor will provide a copy of the final invoice upon request.
4. Reporting & Payment
- Contractor must notify ProLink Nest within 48 hours when a referred job is booked.
- Upon job completion, Contractor will report the final job value and provide supporting documentation if requested.
- Payments can be made via ACH, check, or invoice link. Late payments incur a 1.5% monthly fee.
- ProLink Nest may suspend referrals for non-payment or repeated delays.
5. Vetting & Standards
Contractor represents and warrants that it:
- Holds a valid, active CSLB license in the appropriate classification(s).
- Maintains required General Liability and Workers' Compensation insurance.
- Agrees to background/reference checks (already completed or will be).
- Will maintain high standards of quality, timeliness, and customer service.
- Will not engage in any unethical or illegal practices.
6. Independent Relationship
- Contractor is an independent contractor. Nothing in this Agreement creates an employment, partnership, or joint venture relationship.
- Homeowners contract directly with Contractor. ProLink Nest has no control over Contractor's work, pricing, or performance.
7. Disclaimers & Liability
- ProLink Nest provides referrals only and makes no warranties about job outcomes.
- Contractor is fully responsible for all work performed, warranties, permits, and compliance with laws.
- Contractor agrees to indemnify and hold ProLink Nest harmless from any claims arising from the Contractor's work.
8. Term & Termination
- This Agreement is effective upon signing and continues until terminated with 30 days written notice.
- Immediate termination is allowed for non-payment, license issues, or poor performance.
9. General Provisions
- This Agreement is governed by California law.
- Any disputes will first attempt mediation in Shasta County.
- This is the entire agreement; modifications must be in writing.
